1. Acceptance of Terms

By accessing or using chiwiq.com and related services (the "Platform"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms") and any additional policies incorporated by reference, including the ChiwiQ Privacy Policy, Cookie Policy, and any applicable addendum.
If you do not agree to these Terms, you must immediately stop using the Platform.
If you use the Platform on behalf of a company, organization, school, clinic, restaurant, logistics provider, or other legal entity ("Entity"), you represent and warrant that:
- You have full authority to bind the Entity to these Terms
- The Entity accepts full responsibility for all activities conducted under its account
2. Definitions
- "ChiwiQ" refers to ChiwiQ LLC, a New Jersey limited liability company, and its owners, affiliates, subsidiaries, and successors
- "Platform" includes all web, mobile, API, and AI systems, and future services
- "Services" includes all current and future ChiwiQ offerings, including: CIRP, the ChiwiQ operations platform, and its AI agent JUVA; the ChiwiQ Retail Operations Platform; ChiwiQ EMR and Intelligent Health Systems; logistics and delivery systems; restaurant and marketplace integrations; energy analytics and digital twin solutions; and financial, AI, and predictive analytics tools
- "User Content" means any data, text, images, or materials uploaded by users
- "Education Customer" has the meaning given in the ChiwiQ Education Addendum, available at https://www.chiwiq.com/legal/education-addendum
3. Scope of Services
ChiwiQ is a multi sector, modular platform. By using any module, you agree to comply with all applicable rules for that module.
3.1 Healthcare and EMR Services
- Users must maintain all required licenses, certifications, and regulatory approvals
- Users are solely responsible for compliance with HIPAA and any other health data laws that apply where they operate
- ChiwiQ acts as a technology provider, not a healthcare provider
- Clinical decisions remain solely the responsibility of licensed professionals
3.2 Logistics, Delivery, and Marketplace Services
ChiwiQ may integrate with third party providers such as DoorDash. Users agree to the fulfillment timelines, pricing structures, and third party partner terms that apply. ChiwiQ is not responsible for delivery delays, driver conduct, or product quality from vendors.
3.3 Energy and Digital Twin Services
Data provided is analytical and predictive only. ChiwiQ does not control power generation, grid infrastructure, or utility providers, and makes no guarantee regarding the accuracy of forecasts or operational outcomes.
3.4 Future Services
These Terms apply to all future ChiwiQ products, including AI decision systems, financial services, autonomous logistics, and blockchain or tokenized ecosystems.
3.5 Education Customers
If you are a school, school district, or other educational institution using the Services with students under 18, the ChiwiQ Education Addendum (https://www.chiwiq.com/legal/education-addendum) applies to your use of the Services and forms part of these Terms. If the Education Addendum conflicts with these Terms, the Education Addendum controls.
4. User Responsibilities
4.1 Accuracy of Information
You agree to provide accurate, complete, and current information, and to maintain the integrity of all uploaded data.
4.2 Account Security
You agree to keep your login credentials confidential and to notify ChiwiQ immediately of any unauthorized access.
4.3 Legal Compliance
You agree to use the Platform only for lawful purposes and not to engage in fraud, abuse, or exploitation.
5. Prohibited Activities
Users are strictly prohibited from:
- Violating any applicable law or regulation
- Uploading false medical, financial, or operational data
- Attempting to reverse engineer or hack the Platform
- Interfering with system integrity or security
- Using the Platform to exploit or harm others
- Misusing AI outputs or analytics for illegal purposes
6. Data Ownership and Usage Rights
6.1 User Data
Users retain ownership of their data. By using ChiwiQ, you grant ChiwiQ a global, non exclusive, royalty free license to process, store, and analyze your data, and to use it to maintain, improve, and develop the Services, including AI models.
6.2 Aggregated Data
ChiwiQ may aggregate and anonymize data and use it for AI training, market insights, and product improvement. Aggregated data will not identify individual users.
6.3 Education Customers
Additional data protections for Education Customers, including limits on the use of student data, are set out in the ChiwiQ Education Addendum.
7. Intellectual Property
All rights, title, and interest in the Platform remain exclusively with ChiwiQ, including software code, algorithms, data structures, branding, trademarks, and marketing content. Users may not copy, modify, distribute, or create derivative works from the Platform.
8. Payments, Fees, and Subscriptions
Certain Services require payment. All fees are non refundable unless stated otherwise. ChiwiQ may modify pricing or introduce new charges. Failure to pay may result in account suspension or restricted access to data. Payments are processed by third party payment processors, including Stripe.
9. Third Party Services
The Platform may include integrations with third party providers. ChiwiQ does not control third party services and is not responsible for their performance, data practices, or terms. Use of third party services is at your own risk.
10. AI and Automated Systems Disclaimer
ChiwiQ may provide AI driven insights and automation. You acknowledge that AI outputs are not guaranteed to be accurate and should not be relied upon as medical, legal, or financial advice. Human verification is required.
11. Limitation of Liability
To the maximum extent permitted by law, ChiwiQ is not liable for indirect damages, loss of profits, data loss, business interruption, medical outcomes, delivery failures, or energy fluctuations.
ChiwiQ's total liability will not exceed the amount paid by the user in the preceding 12 months.
12. Indemnification
You agree to defend and indemnify ChiwiQ against any claims arising from your misuse of the Platform, your violation of laws or regulations, or your breach of these Terms.
13. Termination
ChiwiQ may suspend or terminate accounts and remove content for violation of these Terms, legal requirements, or risk to platform integrity. For Education Customers, termination and data deletion are handled as described in the ChiwiQ Education Addendum.
14. Privacy
Use of the Platform is also governed by the ChiwiQ Privacy Policy. By using the Platform, you consent to the data collection and processing practices described in it.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of New Jersey. U.S. law governs unless local regulation requires otherwise, and disputes will be resolved in New Jersey courts unless otherwise required by law.
16. Dispute Resolution
The parties agree to attempt informal resolution first. If a dispute is not resolved, it may proceed to binding arbitration or to the courts located in New Jersey. Class action lawsuits are waived where permitted by law.
17. Force Majeure
ChiwiQ is not liable for delays or failures caused by natural disasters, government actions, power outages, internet failures, war, or civil unrest.
18. Modifications to Terms
ChiwiQ may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms. Changes to the ChiwiQ Education Addendum that reduce protections for Education Customers take effect as described in that Addendum.
19. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any applicable addendum, including the ChiwiQ Education Addendum, constitute the entire agreement between the User and ChiwiQ. They supersede all prior agreements, communications, or understandings.

21. SMS Terms
Customers who check the SMS consent box at checkout agree to receive text messages from ChiwiQ LLC, limited to order confirmations and order status, pickup, and delivery updates. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to opt out at any time. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages. How we handle your mobile information is described in Section 19 of the ChiwiQ Privacy Policy.
22. Final Acknowledgment
By using ChiwiQ, you acknowledge that you have read and understood these Terms, agree to be legally bound by them, and assume the risks associated with your use of the Platform.
